Thank you for placing a reservation for a Zero Gravity Pump! You have now secured your priority for configuring and ordering your Zero Gravity Pump.
Your Reservation is effective when 1) you place your reservation and 2) we receive your Reservation Payment, which includes the payment due within 30 days of when you placed your reservation.
After 30 days, the reservation agreement will become a binding reservation (purchase) agreement.
The estimated Purchase Price of the pump provided is a close estimate, and we belive the end price will be in the range 35-70% of the purchase price. It is still only an estimate.
We are still working on what motor options, features and hardware the pump will have and so cannot confirm the exact price just yet.
Your Purchase Price will ultimately be confirmed once you’ve configured your pump.
Please read our Current Configuration and Pricing Estimation Document to get a overview of the pricing estimation, a good indication of what your pump will cost! It will be our commitment to ensure your satisfaction.
Order Process. This Reservation secures your priority, and after 30 days of reservation, it constitute the purchase order of one or more pumps. As production nears, we will invite you to complete the configuration of your pump and enter into an Final Order Agreement (and its terms) for the purchase. You will be issued an updated Purchase Order Agreement whenever you or we make changes to your configuration. Prior to delivery, you will enter into the Final Purchase Agreement (and its terms), which will detail your final pump configuration and Purchase Price, as well as any applicable taxes, duties, transport and delivery charges, and any other applicable fees. When you proceed with the Final Purchase Order, your Reservation Payment will be applied towards the Purchase Price of the pump.
Development. You understand that Zero Gravity Pump is still under development at the time you entered into this Agreement and so we cannot guarantee that the pump will have the exact configuration as shown. Engineering details, motor options, size, appearance and behavior, including other features are still being considered. The pump have a potential to save up to 90% of your energy cost for circulation to elevated containers. How close we will get to this energy-efficiency is still being considered and will be confirmed before you enter into your Final Purchase Order.
Delivery. You understand that Zero Gravity Pump is still under development at the time you entered into this Agreement and so we cannot guarantee when your pump will actually be delivered. The number of inital reservations will determine production start, and an estimate would be during 2024, or early 2025. It is still only an estimate.
Cancellation. Your Reservation may be cancelled by us at any time through your Account and for any reason, In which case you will receive a full refund of your Reservation Payment.
Acknowledgements; Non-Transferable. You understand that we will not hold your Reservation Payment separately or in an escrow or trust fund or pay any interest on your Reservation Payment. Your Reservation is not transferable or assignable to another party without our prior written consent.
Limitation of Liability. We are not liable for any incidental, special or consequential damages arising out of this Agreement. Your sole and exclusive remedy under this Agreement will be limited to reimbursement of your Reservation Payment.
Governing Law; Integration. The terms of this Agreement are governed by, and to be interpreted according to, the laws of the Country in which we are licensed to sell pumps that is nearest to your primary address at the time you placed this Reservation. Terms relating to the Zero Gravity Pump not expressly contained herein are not binding.
Agreement to Arbitrate.
Please read this agreement carefully.
You are agreeing that any dispute between you and 0gcs AS. or its affiliates (which we call “0gcs”) will be decided by an
arbitrator in arbitration rather than by a judge or jury in court.
This includes claims arising before you placed your order for your System, such as claims related to statements 0gcs made about our products.
If you have a concern or dispute, please send us an email to firstname.lastname@example.org, describing your concern or dispute and how you would like it resolved.
The email must contain the word Dispute in the subject field.
Please include your name, e-mail, phone number, and (if applicable) the order number.
If the dispute is not resolved within 90 days from the date of your email, the dispute will be decided by a single arbitrator in an arbitration administered by the Arbitration and Dispute Resolution Institute (ADRI).
The arbitrator cannot hear class or representative claims or requests for relief on behalf of others purchasing 0gcs products. In other words, you can bring claims against 0gcs only in your individual capacity and not as a plaintiff or class member in any class or representative action (and the same is true for 0gcs).
If a court or arbitrator decides that any part of this agreement to arbitrate cannot be enforced as to a particular claim or request for a remedy (such as what lawyers call “injunctive” relief), then that claim or remedy (and only that claim or remedy) will be carved out of the arbitration and can be filed in court; all other claims must be arbitrated. If you prefer, you can instead take your individual dispute to a small claims court. If you don’t want to agree to arbitration, you can "opt out” of arbitration by send us a letter within 30 days after placing your initial order for your System and first agreeing to these terms and conditions. Please send us an email with the subject Arbitration, your ID number, the name of the product you ordered, and a statement explaining your desire to opt out of arbitration. If you do not opt out, your agreement to arbitrate overrides any different arbitration agreement between us, including any arbitration agreement in a lease or finance contract.
